NLCF BylawsI. Name
- The name of this department of Nickerson Lake Wilderness Preservation, Inc. (NLWP) shall be Nickerson Lake Conservation Fund (NLCF).
II. Board of Directors
- The Board of Directors shall serve without pay and consist of three members.
- Board members must own property on Nickerson Lake but need not be members of NLWP.
- Board members shall serve four year terms.
- Vacancies shall be filled by appointment by the board of NLWP.
III. Officers
- The officers of the board shall consist of a Chair who shall perform the duties of chair, secretary and treasurer and a Vice-chair.
- Elected officers will serve a term of four years.
- The Chair shall preside at all Board meetings, appoint committee members, and perform other duties as associated with the office.
- The Vice-Chair shall assume the duties of the Chair in case of the Chair’s absence.
- The Secretary shall be responsible for the minutes of the Board, keep all approved minutes in a minute book, and send out copies of minutes to all no more than 10 days after a meeting.
- The Treasurer shall keep record of the organization’s budget and prepare financial reports as needed.
IV. Meetings
- Regular meetings shall be held at least annually.
- Special meetings may be held at any time when called for by the Chair or a majority of Board members.
- Agendas shall be provided at least three days in advance.
VI. Voting
- A majority of board members constitutes a quorum.
- In absence of a quorum, no action shall be taken except to adjourn the meeting to a subsequent date.
- Passage of a motion requires a simple majority (ie, one more than half the members present).
VII. Conflict of Interest
- Any member of the board who has a financial, personal, or official interest in, or conflict (or appearance of a conflict) with any matter pending before the Board, will vacate his seat and refrain from discussion and voting on said item.
VIII. Fiscal Policies
- The fiscal year of the board shall be January 1 to December 31.
- No more than 10% of fund assets may be spent in any fiscal year without the approval of both the NLWP and NLCF boards.
- Fund assets must be used to either directly or indirectly benefit the water quality of Nickerson Lake.
IX. Amendments
- These by-laws may be amended by a two-third vote of Board members present at any meeting, provided that a quorum is present and that a copy of the proposed amendment has been given to each Board member at least one week prior to said meeting.
